Welcome to Corporate Facility Supply. Throughout these Terms of Service, the terms “Corporate Facility Supply,” “we,” “us,” and “our” refer to Corporate Facility Supply.

Corporate Facility Supply operates this website and online store, including all related information, content, features, tools, products, and services made available through the website (collectively, the “Services”). Our website is hosted and supported by Shopify, which provides the technology and platform that enables us to operate our online store and provide the Services to you.

These Terms of Service, together with any policies or additional terms referenced in these Terms, set out the terms and conditions that apply to your access to and use of the Services and your purchase of products and services from Corporate Facility Supply.

An order is not considered accepted until Corporate Facility Supply has confirmed acceptance of the order. SECTION 4 – PRICES AND BILLING

All prices displayed by Corporate Facility Supply are in Canadian dollars, unless otherwise stated.

Prices, discounts, promotions, and product availability are subject to change without notice. The applicable price for an order will generally be the price displayed or otherwise quoted at the time the order is placed or confirmed.

Unless otherwise stated, prices do not include applicable sales taxes, delivery charges, installation charges, service charges, or other additional fees that may apply.

Applicable federal and provincial sales taxes will be charged as required by law.

Prices available through our online store may differ from prices quoted directly by Corporate Facility Supply, prices available at other locations, or prices offered by third parties.

Promotional offers may be subject to additional terms and conditions. If there is a conflict between the terms of a specific promotion and these Terms of Service, the terms of the promotion will apply to that promotion.

You agree to provide accurate and complete billing, payment, and account information and to promptly update this information when necessary.

For customers with approved account terms, payment is due according to the payment terms established by Corporate Facility Supply. Late or unpaid accounts may be subject to applicable account charges or collection procedures.

 

SECTION 5 – DELIVERY

Corporate Facility Supply may arrange and complete deliveries directly to the delivery address provided with your order.

All delivery dates and times are estimates only and are not guaranteed. We will make reasonable efforts to deliver products within the estimated timeframe; however, delivery may be affected by circumstances beyond our reasonable control, including weather, road conditions, traffic, equipment issues, product availability, or other unforeseen circumstances.

If a delivery is delayed, we will make reasonable efforts to communicate the updated delivery information where practical.

Unless otherwise agreed in writing, delivery is considered complete when the products have been delivered to the customer's designated delivery location.

The customer is responsible for ensuring that the delivery location is reasonably accessible and suitable for delivery. Additional delivery charges may apply where special delivery arrangements are required.

Risk of loss or damage to products transfers to the customer upon delivery, subject to any rights or protections provided by applicable law and any express terms agreed to between the customer and Corporate Facility Supply.

 

SECTION 6 – INTELLECTUAL PROPERTY

Corporate Facility Supply's online store is hosted and supported by Shopify, which provides the technology and platform that enables us to operate our online store.

However, all purchases of products and services made through our online store are transactions between you and Corporate Facility Supply.

Shopify is not the seller or supplier of the products or services purchased from Corporate Facility Supply and is not responsible for the products, delivery, returns, warranties, customer service, or other obligations associated with transactions between you and Corporate Facility Supply.

To the extent permitted by applicable law, you agree that Shopify and its affiliates are not responsible for claims arising from your purchase or use of products or services supplied by Corporate Facility Supply.

We reserve the right to participate in the defence of any such claim. You agree to provide reasonable cooperation and assistance in connection with the defence of an indemnified claim.

Nothing in this section requires you to indemnify Corporate Facility Supply for losses caused by Corporate Facility Supply's own negligence or misconduct to the extent that such indemnification would be prohibited by applicable law.

 

 

 

 

SECTION 19 – SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be enforced to the fullest extent permitted by applicable law, and the remaining provisions will continue in full force and effect.

If Corporate Facility Supply does not immediately enforce any provision of these Terms, that does not constitute a waiver of our right to enforce that provision in the future.

These Terms of Service, together with any policies or additional terms expressly incorporated by reference, constitute the agreement between you and Corporate Facility Supply regarding your use of the Services and supersede prior agreements or communications relating to the same subject matter.

If there is a conflict between these Terms and a separate written agreement between you and Corporate Facility Supply, the terms of the separate written agreement will govern to the extent of the conflict.

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent.

SECTION 22 – GOVERNING LAW AND JURISDICTION

These Terms of Service and any separate agreements under which Corporate Facility Supply provides products or services to you shall be governed by and construed in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada.

You and Corporate Facility Supply agree that the courts of the Province of Ontario shall have jurisdiction over any dispute, claim, or proceeding arising out of or relating to these Terms of Service or the products and services provided by Corporate Facility Supply.
